Terms of Service

Last updated September 10, 2026

These terms govern your use of Yutace’s bank and credit card reconciliation platform. Please read them together with our Privacy Policy.

1. Agreement to these terms

These Terms of Service (“Terms”) govern access to and use of the Yutace platform (“Yutace,” “we,” “us”), a bank and credit card reconciliation service for businesses. By creating an account, accepting an invitation to a company's account, or otherwise using Yutace, you agree to these Terms on behalf of yourself and, if you're using Yutace for an organization, on behalf of that organization (“Customer,” “you”).

This is a starting framework, not a substitute for reviewing your own specific arrangement with us — where a separate signed agreement between Yutace and a Customer exists, that agreement governs to the extent it conflicts with these Terms.

2. What Yutace does

Yutace reconciles uploaded bank and credit card statements against invoices and receipts, using automated extraction and matching (including third-party AI services, see Section 7) to propose transaction categories, tax treatment, and account allocations for your review.

Yutace is a bookkeeping tool, not a substitute for professional judgment. Every result it produces — a match, a category, a tax calculation — is a proposal for a qualified person at your organization (or your accountant) to review before it's relied on for filing, reporting, or any other purpose. We don't provide tax, accounting, or legal advice, and nothing in the platform should be treated as such.

3. Accounts and who's responsible for what

An account is created per organization (“Customer account”), with one or more individual users granted access under roles your organization's administrators control. Your organization is responsible for who it invites, what role/permissions it grants them, and for keeping that access current (e.g., removing someone who leaves).

You're responsible for keeping your own sign-in credentials secure and for all activity under your account. Let us know promptly at the contact below if you suspect unauthorized access.

You must be lawfully authorized to act on behalf of the organization you're representing when you create or use a Customer account.

4. Your data and content

You (or your organization) own the statements, invoices, receipts, and other data you upload to Yutace (“Customer Data”), and the results Yutace generates from it. We don't claim ownership of Customer Data.

You grant us the right to process Customer Data solely to provide, maintain, and improve the service for you — as described in our Privacy Policy, which forms part of these Terms.

You're responsible for having the right to upload the documents you submit, and for the accuracy of any manual corrections you make in the review process.

5. Acceptable use

You agree not to: use Yutace for any organization or data you're not authorized to act for; attempt to bypass or disable any access control, rate limit, or security feature; upload malicious files or content designed to disrupt the service; access another Customer's data or attempt to do so; or use the service in a way that violates applicable law.

6. Fees, trials, and billing

Some or all use of Yutace may be offered on a free-trial basis before any paid plan applies, as described to you at signup or in a separate agreement. Where a paid subscription applies, the specific pricing, billing frequency, and cancellation terms for your organization are as communicated to you directly (e.g., at signup or in an order form/agreement) — this section will be updated with general self-serve billing terms once a public pricing model is finalized.

If your trial or subscription ends or lapses, we may restrict access to the reconciliation features until it's renewed, without deleting your underlying data during a reasonable grace period.

7. Third-party services

Yutace relies on third-party providers to operate — for example, Clerk for authentication and Anthropic's Claude for document extraction and matching. Their processing of your data is described in our Privacy Policy. We select these providers carefully, but we don't control their systems and aren't liable for their outages or errors beyond what's set out in Section 9.

8. Intellectual property

Yutace, including its software, design, and underlying technology, is owned by us (or our licensors) and is protected by intellectual property law. These Terms grant you a limited, non-exclusive, non-transferable right to use the platform for your own internal business purposes — nothing here transfers ownership of the platform itself to you.

9. Disclaimers and limitation of liability

Yutace is provided “as is” and “as available.” We don't guarantee that every match, category, or tax calculation will be accurate for your specific circumstances — that's why every result is meant for human review before you rely on it (see Section 2).

To the fullest extent permitted by law, we aren't liable for indirect, incidental, or consequential damages arising from your use of Yutace, including from an incorrect reconciliation result that wasn't caught in review. This section doesn't limit liability where the law doesn't allow it to be limited.

10. Termination

Either you or we may stop using/providing the service at any time, subject to any separate agreement in place. We may suspend or terminate access if we reasonably believe these Terms have been violated, or to protect the security or integrity of the platform or other Customers' data.

On termination, we'll handle your data as described in our Privacy Policy's retention section.

11. Governing law

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable in Quebec, without regard to conflict-of-law principles. Any dispute will be subject to the exclusive jurisdiction of the courts located in Quebec, Canada.

12. Changes to these terms

If we make material changes to these Terms, we'll update the date below and, where appropriate, let Customers know. Continuing to use Yutace after a change takes effect means you accept the updated Terms.
